Corporate law services

The firm can provide corporate housekeeping, comprising company affairs (handling issues for the management board and supervisory board, holding shareholder meetings, drafting amendments to the company statute) and dealing with HR issues, (recruitment, dismissal, amending company by-laws, etc). The firm also assists with business activity by providing representation in negotiations with a company’s clients and issuing opinions on commercial contracts.

Advising investors starting up businesses in Poland is also a major part of the firm’s activity. This includes handling share acquisitions and transfers, company incorporation, and corporate mergers and liquidations.

Dispute Resolution

The firm assists its clients at all stages of disputes. It provides court representation in civil and commercial cases, but it also advises its clients on taking measures when the relationship is forming between its clients and other parties to avoid disputes in future. If disputes arise the firm can provide both the option of an amicable settlement as well as the option of pursuing claims before courts. With regard to dispute resolution the firm pays special attention to cross-border cases in which a major issue is establishing the country in which the court with jurisdiction is located, and enforcement of rulings issued by courts outside of Poland.

EU law

The services provided with respect to EU law include observing and reacting to ongoing legislative processes, identifying EU legislation applicable in Poland, advising on interpretation of such legislation, and representing clients before EU institutions and EU Courts in Luxembourg.

Competition law

The firm advises clients on all aspects of competition law. These services include dealing with the Polish Competition Authority (UOKiK) on behalf of clients and representing clients in common courts in cases relating to practices that restrict competition, abuse of a dominant position, and collective consumer interests. The firm can provide representation in cases in which clients face charges of entering into arrangements which are a violation of Polish or EU law. The firm can also draw up antitrust filings. The firm can advise on making distribution networks and commercial agreements competition law compliant, and provides training on competition law.

International Trade

The firm advises its clients in the use of trade defense instruments (anti-dumping, anti-subsidy and safeguard measures). In this regard, the firm represents its clients before the European Commission and Polish administration in the antidumping cases.
